End-User License Agreement
This agreement applies to the Midland Cares AutoPay application operated by Midland Cares, Inc. (“Midland Cares,” “we,” “us,” or “our”).
Effective September 3, 2026
1. Acceptance
By accessing or using AutoPay, you confirm that you are authorized by Midland Cares and agree to this agreement and the Privacy Policy. If you do not agree, do not use the application.
2. Limited license
Midland Cares grants authorized users a limited, nonexclusive, nontransferable, revocable license to use AutoPay solely for Midland Cares’ internal billing and accounting activities. No ownership interest in the application or its content is transferred.
3. Permitted use
Authorized users may use AutoPay to connect an approved QuickBooks Online company, review customer and invoice information, manage authorized recurring billing schedules, submit eligible invoice balances to QuickBooks Payments, apply completed payments in QuickBooks Online, and review billing exceptions and audit records.
4. User responsibilities
You are responsible for:
- using AutoPay only within the authority granted to you by Midland Cares;
- protecting your account and promptly reporting suspected unauthorized access;
- confirming that each recurring charge is supported by a valid customer authorization;
- reviewing invoice amounts, payment schedules, exceptions and reconciliation results for accuracy; and
- complying with applicable payment-card, accounting, privacy and recordkeeping requirements.
5. Prohibited conduct
You may not share access with an unauthorized person; attempt to bypass security controls; access data outside your assigned responsibilities; reverse engineer or interfere with the application; introduce malicious code; use AutoPay for unlawful, fraudulent or unauthorized charges; or copy, sell, sublicense or commercially distribute the application.
6. QuickBooks and payment services
AutoPay depends on services provided by Intuit, including QuickBooks Online and QuickBooks Payments. Your use of those services remains subject to Intuit’s applicable terms and policies. Service availability, data access and transaction processing may be affected by Intuit’s systems, permissions, account status and processing decisions. Intuit is not a party to this agreement.
7. Payment authorization and transaction review
AutoPay does not replace the customer’s authorization to be charged. Midland Cares must maintain appropriate authorization before enabling recurring billing. The application uses the eligible QuickBooks invoice balance as the requested charge amount. Authorized users must investigate declined, duplicate, incomplete or uncertain transactions and must not resubmit a charge when the result is unclear.
8. Availability and changes
We may modify, suspend or discontinue any part of AutoPay, restrict access, or change operational controls when reasonably necessary for security, legal compliance, maintenance or business needs. We do not guarantee uninterrupted or error-free availability.
9. Disclaimer
To the fullest extent permitted by law, AutoPay is provided “as is” and “as available.” Midland Cares disclaims implied warranties, including merchantability, fitness for a particular purpose and noninfringement. AutoPay is an operational tool and does not provide legal, tax or accounting advice.
10. Limitation of liability
To the fullest extent permitted by law, Midland Cares will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of or inability to use AutoPay. Nothing in this agreement excludes liability that cannot legally be limited.
11. Suspension and termination
Access may be suspended or terminated immediately when authorization ends, employment or service responsibilities change, security is at risk, or this agreement is violated. Upon termination, you must stop using AutoPay. Provisions that by their nature should survive termination will remain effective.
12. Applicable law
This agreement is governed by applicable federal law and the laws of the State of Florida, without regard to conflict-of-law principles.
13. Changes to this agreement
We may update this agreement as the application, legal requirements or business practices change. The effective date above identifies the current version. Continued use after an update constitutes acceptance of the revised agreement.
